Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and “you” includes that business.

You are responsible for the activity that occurs under your account and for keeping your credentials secure. Notify us promptly at team@bizpal365.com if you suspect unauthorized use. The account owner controls roles and permissions for managers and staff and is responsible for how those users use the Service.

BizPal365 provides tools to help small businesses manage bookkeeping and staff scheduling, including creating journal entries, connecting to QuickBooks Online, building schedules from reusable templates, collecting availability and time-off requests, and sending schedule-related notifications by email and text message.

The Service provides warnings and recommendations (for example, about labor rules or staffing levels), but it does not provide legal, accounting, tax, or payroll advice. You are responsible for reviewing output and for your own compliance with applicable laws, including wage and hour, scheduling, and employment laws. Final scheduling and financial decisions rest with you.

You retain all rights to the information and content you submit to the Service (“Your Data”). You grant ADABTEK CORP. a limited license to host, process, transmit, and display Your Data solely to provide and improve the Service and as described in our Privacy Policy.

You represent that you have the necessary rights and consents to submit Your Data, including any personal information about your employees, and that your use of the Service complies with applicable law. You are responsible for the accuracy of Your Data and for maintaining your own copies of important records.

The Service sends operational messages by email and, where a mobile number has been added and consent to receive texts has been recorded, by text message. Message types, message frequency, how consent is collected, and opt-out keywords (reply STOP to cancel, HELP for help) are described in our Privacy Policy. Message and data rates may apply.

If you use the Service on behalf of a business, you are responsible for obtaining each person’s agreement to receive automated text messages before enabling texts for that person, for being able to demonstrate that agreement, and for honoring any opt-out request you receive directly. You must only add mobile numbers that you are authorized to contact for these purposes. ADABTEK CORP. acts as the messaging sender of record for these notifications and may suspend messaging for any account that sends unauthorized or non-conforming messages.

• Program description. BizPal365 provides automated informational and transactional text message notifications to employees and employers regarding staff scheduling, shift assignments, schedule changes, availability updates, time-off decisions, and coverage requests.
• User opt-in. By providing a mobile phone number and affirmatively opting in through the BizPal365 application or onboarding process, you agree to receive automated SMS notifications from BizPal365 on behalf of your employer. Opt-in consent is not a condition of purchase or employment.
• Opt-out and cancellation. You can cancel the SMS service at any time. Just text STOP to our short code or toll-free number. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, reply START or sign up as you did the first time.
• Help and support. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at team@bizpal365.com.
• Rates and frequency. Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on scheduling activity and employer preferences. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
• Carrier liability. Wireless carriers are not liable for delayed or undelivered messages.

You agree not to:

• Use the Service in violation of any law or the rights of others, including privacy and employment laws;
• Upload malicious code, attempt to gain unauthorized access to the Service or its systems, or interfere with its operation;
• Reverse engineer, resell, or provide the Service to third parties except as expressly permitted;
• Send unsolicited marketing or spam through the Service’s messaging features; or
• Use the Service to store or transmit data you are not authorized to handle.

The Service integrates with third-party services, such as QuickBooks Online, that you choose to connect. Your use of those services is governed by their own terms, and we are not responsible for them. You are responsible for any fees charged by third parties, including mobile-carrier charges for text messages.

Some features of the Service may be offered for a fee. If you subscribe to a paid plan, you agree to the pricing and billing terms presented at the time of purchase. Unless stated otherwise, fees are non-refundable, and paid plans renew automatically until cancelled. We may change pricing on a prospective basis with reasonable notice.

The Service is under active development. We may add, change, or remove features, and some functionality may be labeled as early access or beta and provided “as is” without warranties. We will try to give reasonable notice of material changes that adversely affect your use.

The Service, including its software, design, and content (excluding Your Data), is owned by ADABTEK CORP. and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. Feedback you provide may be used by us without obligation to you.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends. We may delete Your Data after a reasonable period, so export anything you need beforehand. Sections that by their nature should survive termination will survive.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will be delivered without delay or failure.

To the fullest extent permitted by law, ADABTEK CORP. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or USD 100.

You agree to defend, indemnify, and hold harmless ADABTEK CORP. from and against claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Data, your use of the Service, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State in which ADABTEK CORP. is organized, without regard to conflict-of-laws rules. You and ADABTEK CORP. agree to resolve disputes in the state or federal courts located in that State, and each party consents to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice through the Service. Your continued use of the Service after an update means you accept the revised Terms.
